We are currently seeking a highly motivated, experienced and competent associate/senior associate to join our Corporate Advisory team, with a sub-focus on global mobility, employment, technology and data protection law practice. Key Responsibilities · Global Mobility : Support the relevant partner on a diverse range of matters under the umbrella of global mobility, covering the movement of business, assets and human capital to providing advice on corporate restructuring and relocation of manpower (hiring, reassignment and termination). · Technology and Data Protection: Support the relevant partner on selected technology services engagements, ranging from a review of contracts to advising on licensing and data protection law matters. · Advisory and Drafting : Provide legal advice and draft, review and assist with negotiations on a wide array of corporate and commercial documentation (including but not limited to share sale and purchase agreements, asset sale agreements, shareholders’ agreement, joint venture agreements, equity subscription agreements, employment handbook, employment contracts, IT services agreements, and data sharing agreements). · Transactional Work : Support the corporate partners on a diverse portfolio of domestic and cross-border transactions from inception to completion (which would cover the areas of Global Mobility, Technology and Data Protection). · Due Diligence : Conduct thorough legal due diligence, identifying key risks and providing recommendations. · Legal Research & Analysis : Conduct in-depth legal research and provide clear, concise analysis on points of Singapore law and regulatory framework. · Business Development : Actively participate in the firm’s business development initiatives, including client pitches, seminars and other business development activities. Job Requirements · Qualification : Duly admitted as an Advocate and Solicitor of the Supreme Court of Singapore. · Experience : A proven track record of 2 to 5 years of post-qualification experience (PQE) gained with a reputable law firm, with demonstrable expertise in: o Employment Law: Experience in handling employment law issues and matters, including drafting, negotiating, dealing with the relevant authorities ( candidates with disputes resolution experience or interest in employment law will be considered). o Commercial Contracts : Strong exposure to drafting and negotiating various commercial agreements, with a particular interest or exposure to technology contracts and data protection documents. o Corporate M&A : Experience in advising on and executing M&A transactions (buy-side and/or sell-side) (candidates without M&A transaction experience will be considered if they have strong drafting and negotiation skills in commercial contracts). o General Corporate Advisory : Experience in advising on regulatory compliance, corporate governance and general corporate matters. · Legal Acumen : Proficiency in contract drafting, good negotiation skills and legal research capabilities across complex corporate and commercial legal issues. · Autonomy : Ability to manage multiple matters concurrently and autonomously, often with tight timelines. · Work Ethic : A strong capability in thriving in a fast-paced, high-pressure environment, consistently delivering high-quality work with meticulous attention to detail and good time management. · Professional Attributes : Highly self-motivated, with a proactive, solution-oriented approach and a positive, collaborative attitude that contributes positively to our team and firm culture. · Commercial Savviness : Possesses sound and pragmatic commercial judgment and the ability to provide practical, business-focused advice to clients. · Language Skills : Proficiency in spoken and written Mandarin is considered a strong advantage, especially for client interactions.
