We are seeking a highly experienced and qualified Corporate Secretary Advisor to provide expert corporate secretarial guidance and execution for a portfolio of Singapore-incorporated companies. This is a remote, advisory role requiring a professional with a strong legal and compliance background who can handle both routine statutory obligations and complex, high-stakes corporate transactions. The ideal candidate is a seasoned practitioner with at least 10 years of legal and corporate secretarial experience in Singapore, capable of operating independently and providing strategic advice on matters ranging from day-to-day compliance to mergers, acquisitions, and equity restructuring. Key Responsibilities Core Corporate Secretarial & Compliance (Basic) Serve as the primary advisor on corporate governance, directors' duties, and statutory compliance under the Singapore Companies Act (Cap. 50) . Prepare and maintain statutory registers, minutes books, and corporate records in accordance with ACRA requirements. Draft and prepare Board Resolutions, Directors' Resolutions in Writing (DRIW), and Shareholders' Resolutions. Prepare and file Annual Returns, XBRL financial statements, and other statutory filings with ACRA via BizFile+. Manage the appointment and cessation of directors, company secretaries, and other key officers, ensuring timely notification to ACRA. Handle amendments to the company's constitution (Memorandum & Articles of Association). Oversee the discharge of registered charges and e-stamping with IRAS for share transfers. Prepare and draft minutes for Board Meetings, Committee Meetings, and Annual General Meetings (AGMs) / Extraordinary General Meetings (EGMs), including agendas, papers, and action follow-through. Advanced Corporate Secretarial & Transactional Support Mergers & Acquisitions (M&A): Provide comprehensive corporate secretarial support for acquisition and disposal of companies. This includes: Conducting due diligence on target companies' compliance status. Ensuring all corporate records are accurate and readily available for the due diligence process. Managing regulatory compliance and statutory filings throughout the transaction lifecycle. Supporting group-level transactions, including divestments, restructurings, and joint ventures from a governance perspective. Power of Attorney: Draft, review, and advise on the execution of Powers of Attorney, ensuring compliance with legal formalities and proper authorisation. Share Allotment: Manage the end-to-end process of share allotment, including: Ensuring proper approval through general meeting or director's resolution. Preparing all necessary documentation (e.g., DRIW, share certificates). Filing the return of allotment with ACRA within the mandatory 14-day timeline. Share Redemption / Buyback: Advise and execute on share redemption and buyback transactions, including capital reduction and share buyback processes. Share Transfers: Process share transfers, including preparation of transfer documents, board resolutions, and ensuring timely stamp duty payment to IRAS. Provide transactional support for other corporate activities including investments, dividends, and dissolutions. Qualifications & Requirements Experience: Minimum 10 years of combined legal and/or corporate secretarial experience, with a significant portion in Singapore. Expertise: Deep, demonstrable knowledge of the Singapore Companies Act , ACRA filing requirements, and corporate governance best practices. Technical Skills: Proven experience in handling: Mergers & Acquisitions (acquisition and disposal of companies). Power of Attorney documentation and execution. Share allotment, transfer, and redemption/buyback processes. Licensing/Certification: Relevant professional qualifications are highly preferred (e.g., MAICSA / CSA (Singapore) qualification). Remote Work Capability: Must have a reliable internet connection and be proficient in remote collaboration tools (email, WhatsApp, online meetings). Soft Skills: Excellent written and verbal communication skills in English. Ability to work independently, manage multiple clients/assignments, and provide clear, actionable advice to stakeholders.
