Responsibilities Lead the Group's Corporate Secretary function, overseeing corporate secretarial, corporate governance, statutory compliance, and corporate records management across a multinational organisation. Ensure robust governance frameworks, effective portfolio management and compliance with applicable statutory and regulatory requirements. Oversee the full spectrum of corporate secretarial activities, including entity structuring and restructuring, board and committee support, preparation and review of minutes and resolutions, statutory filings, KYC and due diligence support, and the maintenance of accurate governance records. Provide strategic governance advice to business leaders by assessing governance implications of business initiatives, transactions and organisational changes, while delivering commercially practical solutions. Advise on corporate structuring, licensing requirements and trademark-related matters, working closely with internal stakeholders and external advisers to support business objectives within an appropriate governance framework. Drive process improvement, digital transformation, automation and AI adoption across the function to enhance operational efficiency, governance oversight and compliance controls. Build strong relationships with directors, senior management, regulators, shareholders, auditors and external advisers, while managing sensitive and high-profile matters with sound judgement and discretion. Lead and coach the Corporate Secretary team by establishing governance standards, strengthening functional capabilities and driving continuous improvement across the function. Requirements Degree in Law or Accounting, with at least 13 years of progressive experience leading corporate secretarial and corporate governance functions within a multinational organisation. Proven expertise in corporate governance, corporate secretarial practice, legal entity management, corporate structuring, board and committee support, licensing and regulatory advisory, and stakeholder management across multiple jurisdictions. Experience leading teams, managing external advisers, and driving governance transformation through process improvement, automation and digital initiatives is highly desirable. The successful candidate will demonstrate strong commercial acumen, strategic thinking and sound judgement, with the ability to translate complex governance and regulatory requirements into practical business solutions.
