By Gamers.™ Job Summary The Corporate Secretarial Specialist supports a portfolio of entities across multiple jurisdictions, ensuring compliance with corporate, regulatory, and governance requirements. Responsibilities Collaborate with the corporate secretarial team to manage a diverse portfolio of entities, ensuring compliance with local corporate laws, regulations, and filing requirements across jurisdictions Maintain accurate statutory records, registers, and corporate documentation for all entities to uphold governance standards Monitor and track statutory deadlines to ensure timely filings, renewals, and regulatory submissions across jurisdictions Support corporate actions including incorporations, liquidations, restructurings, mergers, acquisitions, capital reductions, share issuances, and intercompany changes across jurisdictions Coordinate the execution, notarisation, apostilling, and legalisation of documents as required by different countries to facilitate smooth transactions Liaise with internal legal, tax, finance, and compliance teams to ensure accurate and efficient implementation of corporate transactions Act as the primary contact for external corporate secretarial firms, legal advisers, registered agents, and regulators in various jurisdictions Review deliverables from external providers to ensure quality, accuracy, and consistency in corporate secretarial matters Manage service provider relationships, including budgets and fee arrangements, to optimize service delivery Identify and escalate corporate secretarial, regulatory, and governance risks promptly to mitigate potential issues Ensure compliance with internal policies, group governance frameworks, and regulatory requirements to maintain corporate integrity Support audits, regulatory reviews, and internal control assessments related to corporate secretarial functions Required competencies and certifications Diploma in Law, Business, Accountancy, or a related discipline Preferred competencies and qualifications Professional qualification such as ICSA, CGP, Chartered Secretary, or equivalent Experience working with entities across Asia-Pacific, Europe, the Americas, and/or offshore jurisdictions
