Job Scope of an In-House Legal Consultant 1. Contract Management * Draft, review, and negotiate commercial contracts. * Ensure agreements protect the company’s interests. * Manage contract renewals and amendments. 2. Legal Advisory * Advise management on legal issues affecting the business. * Provide practical legal solutions for day-to-day operations. * Interpret laws and regulations relevant to the company’s industry. 3. Regulatory Compliance * Ensure the company complies with Singapore laws and industry regulations. * Develop and implement compliance policies and procedures. * Monitor changes in legislation and advise on their impact. 4. Corporate Governance * Support the board of directors and senior management on governance matters. * Assist with board resolutions, corporate records, and company policies. * Work with the company secretary on statutory requirements where applicable. 5. Employment Law * Review employment contracts and HR policies. * Advise on employee disputes, disciplinary actions, and terminations. * Ensure compliance with employment legislation. 6. Risk Management * Identify legal risks in business activities. * Recommend strategies to reduce or manage those risks. * Review new business initiatives from a legal perspective. 7. Dispute Resolution * Handle legal disputes, claims, and complaints. * Coordinate with external law firms on litigation, arbitration, or mediation. * Assist in settlement negotiations. 8. Intellectual Property * Protect trademarks, copyrights, patents, and other intellectual property. * Review licensing and confidentiality agreements. 9. Data Privacy * Advise on compliance with data protection laws such as the Personal Data Protection Act (PDPA). * Review data handling practices and privacy policies. 10. Corporate Transactions * Support mergers, acquisitions, joint ventures, investments, and financing transactions. * Conduct legal due diligence and prepare transaction documents. 11. Liaison with External Parties * Coordinate with external legal counsel when specialized advice is required. * Communicate with regulators, government agencies, and business partners on legal matters.
