Position Overview We are seeking a Head of Legal & Compliance to lead the legal & compliance function at Look Capital. This role will be a key strategic partner to senior management, covering fund and investment-related legal work, regulatory compliance, and overall legal governance. Key Responsibilities Legal & Advisory ⁠Lead all legal matters relating to the firm’s investment and fund activities. Draft, review and negotiate key legal documents, including but not limited to:PPM (Private Placement Memorandum)LPA (Limited Partnership Agreement)Subscription AgreementsSAFE (Simple Agreement for Future Equity) Provide legal advice on fund structuring, investment transactions, and cross-border arrangements. Handle corporate legal matters, commercial agreements, and provide sound legal judgment to support business decisions. ⁠Compliance Framework & Oversight Oversee and enhance the firm’s compliance framework in line with MAS regulations and international standards. Act as the key advisor to management on regulatory and compliance matters. Ensure ongoing compliance with CMS license requirements and relevant regulations (SFA, AML/KYC, CRS, FATCA). Regulatory Liaison Serve as the primary point of contact with regulators (including MAS). Lead regulatory inspections, audits, and inquiries. Ensure timely and accurate regulatory filings and reporting. Risk Management & Investment Advisory Identify and assess legal and compliance risks across investment activities and new products. Provide practical, business-oriented advice on wealth management and investment strategies. Work closely with investment, compliance and external counsel where required. Team & Culture Build and lead the legal and compliance function over time. Promote a strong governance and compliance culture across the organization. Support internal training on legal and regulatory matters. Qualifications & Requirements Bachelor’s degree in Law, or related field. 5-10 years of overall relevant experience in legal and/or compliance with financial services, asset management or fund platforms Qualified lawyer is strongly preferred At least 2-3 years of prior experience in a reputable law firm in funds and investment, or Finance Regulation, is highly preferred. Proven ability to handle complex transactions or legal matters, work closely with senior stakeholders, and provide practical, business-oriented legal judgment . Experience with CMS-licensed entities (Singapore) or SFC-licensed firms (Hong Kong) is highly preferred. Familiar with CMS-licensed entities in Singapore and MAS regulatory framework Solid knowledge of SFA, AML/KYC, CRS, FATCA and related regulations Hands-on experience in drafting and reviewing investment and fund documentation (PPM, LPA, SAFE, subscription agreements, etc.) Strong leadership, communication, and stakeholder management skills Fluent in both Chinese and English is required in order to process documents and liaise with counterparties in both languages LOOK CAPITAL is an equal opportunity employer.
