General Counsel | Investments & M&A | 15+ PQE (CL-OC-34) About the opportunity An international investment group is seeking a commercially strong General Counsel to take ownership of legal matters relating to its investments, group structure, and operating businesses. This is a senior, high-impact role suited for a seasoned legal professional with deep transactional, M&A, corporate and investment experience. The successful candidate will work closely with senior leadership and play an active role in advising on strategic business decisions across the group. The legal function operates as a hands-on legal department, and the role will require both strategic advisory capability and the ability to directly execute transactions and legal work. The role The successful candidate will act as both legal advisor and corporate counsel to the business, supporting the group on investments, M&A transactions, corporate governance, regulatory matters, risk management and a broad range of commercial legal issues. This is a highly visible role requiring strong business judgement, executive presence and the ability to operate confidently in complex, fast-moving and sometimes ambiguous situations. Key responsibilities Lead and oversee legal matters across the group, its investments and operating businesses Advise on M&A transactions, investment structures, joint ventures and strategic corporate matters Draft, review and negotiate investment and transaction documents, including SPAs, SHAs, term sheets and JV agreements Support deal structuring, transaction execution and legal risk assessment Advise on corporate governance, regulatory requirements and investment entity structures Monitor legal and regulatory requirements relating to public market investments across relevant exchanges and jurisdictions Support the business on a range of legal matters, including contracts, HR-related issues, external communications and general corporate matters Manage external counsel on corporate, transactional, regulatory and litigation matters Provide strategic legal input to senior leadership on business opportunities, risk mitigation and corporate direction Requirements 15–20+ years of legal experience, with strong transactional, M&A, corporate and/or private equity exposure Experience gained from a top Singapore or international law firm, with in-house experience preferred Strong track record in mid to large-scale M&A, investment or corporate transactions Broad corporate legal experience across areas such as M&A, private equity, corporate finance, merger control, securities, structured finance, governance and investment management Strong commercial judgement and the ability to provide practical, business-oriented legal advice Proven ability to advise and influence senior stakeholders Strong drafting, negotiation and transaction management skills Comfortable working in a lean, hands-on environment where lawyers are expected to execute as well as advise Strong interpersonal, communication and problem-solving skills Sound judgement, integrity, humility and the ability to collaborate effectively across all levels of the organisation Open-minded, adaptable and comfortable operating in complex and evolving business situations Why this role This is an opportunity to step into a senior legal leadership role with significant visibility and influence.
