Corporate Secretary Manager Working Hours : Monday to Friday, 9.00am–6.00pm Role Overview We are seeking an experienced and detail-oriented Corporate Secretary Manager to oversee a portfolio of corporate secretarial clients and ensure their compliance with Singapore’s statutory and regulatory requirements. The successful candidate will manage corporate transactions, statutory filings, client advisory matters and internal team operations. This position requires strong knowledge of the Singapore Companies Act, ACRA requirements, corporate governance practices and the regulatory obligations applicable to corporate service providers. Key Responsibilities Manage a portfolio of local and foreign corporate clients, ensuring timely completion of statutory filings and corporate secretarial obligations. Advise clients, directors and shareholders on corporate governance, statutory compliance and company administration matters. Handle company incorporations, registrations, striking-off applications, restorations and other corporate actions. Prepare directors’ and shareholders’ resolutions, meeting minutes, notices, agendas and other statutory documentation. Manage changes involving company officers, shareholders, registered addresses, share capital, business activities and financial year-end dates. Oversee annual general meetings, annual returns and other statutory submissions through ACRA’s Bizfile platform. Maintain statutory registers, minute books, registers of registrable controllers and records relating to nominee directors and nominee shareholders. Support corporate restructuring exercises, including share allotments, transfers, capital reductions and changes in corporate ownership. Conduct client onboarding, Know Your Customer checks, due diligence and ongoing compliance reviews in accordance with applicable AML, CFT and counter-proliferation financing requirements. Monitor legislative and regulatory developments and communicate relevant changes to clients and internal stakeholders. Review corporate secretarial documents and filings prepared by team members to ensure accuracy, completeness and regulatory compliance. Supervise, guide and train corporate secretarial executives and administrative support staff. Manage client expectations, respond to enquiries and resolve complex corporate secretarial matters professionally. Coordinate with auditors, tax agents, lawyers, financial institutions, government agencies and other external parties where required. Improve internal workflows, document controls, compliance procedures and service delivery standards. Support management with operational reporting, portfolio planning and other corporate services matters. Requirements Four to five years of relevant corporate secretarial experience in Singapore, including experience managing a portfolio of corporate clients. Singaporeans only. Prior supervisory, team leadership or managerial experience is preferred. Possess a recognised corporate secretarial qualification or professional credential applicable in Singapore. Registration as a Registered Qualified Individual with ACRA, or eligibility to obtain the relevant registration, is highly preferred. Strong working knowledge of the Singapore Companies Act, ACRA regulations, corporate governance requirements and statutory filing procedures. Familiarity with the Corporate Service Providers Act and applicable AML, CFT, KYC and client due-diligence requirements. Proficient in using ACRA’s Bizfile platform and corporate secretarial or entity-management systems. Able to prepare and review board resolutions, shareholder resolutions, meeting minutes, statutory registers and corporate transaction documents independently. Strong attention to detail with the ability to manage multiple client portfolios and statutory deadlines. Excellent written and verbal communication skills, with the confidence to advise clients and engage senior stakeholders. Strong organisational, analytical and problem-solving abilities. Able to work independently while effectively supervising and supporting a team. Professional, discreet and committed to maintaining client confidentiality.
